(NYSE: WBT) breached their fiduciary duties or violated the federal securities laws in connection with the company’s acquisition by The Middleby Corporation (NASDAQ: MIDD).

On April 21, 2021, Welbilt announced that it had signed an agreement to be acquired by Middleby for approximately $4.3 billion. Pursuant to the merger agreement, Welbilt stockholders will receive 0.1240 shares of Middleby common stock for each share of Welbilt common stock owned. The deal is scheduled to close in late 2021.

Bragar Eagel & Squire is concerned that Welbilt’s board of directors oversaw an unfair process and ultimately agreed to an inadequate merger agreement.
