We often see insiders buying up shares in companies that perform well over the long term. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So we’ll take a look at whether insiders have been buying or selling shares in Technology One Limited (ASX:TNE).

What Is Insider Buying?

It’s quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, most countries require that the company discloses such transactions to the market.

Insider transactions are not the most important thing when it comes to long-term investing. But it is perfectly logical to keep tabs on what insiders are doing. As Peter Lynch said, ‘insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise.’

Technology One Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by Non-Executive Director John MacTaggart for AU$22m worth of shares, at about AU$5.55 per share. That means that even when the share price was below the current price of AU$7.47, an insider wanted to cash in some shares. Even though it doesn’t necessarily mean anything, that’s certainly not a positive sign, in our book. When an insider sells below the current price, it does tend to make us wonder about the current valuation. Please note, however, that this single sale was just 9.3% of John MacTaggart’s stake. The only individual insider seller over the last year was John MacTaggart.

Does Technology One Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Technology One insiders own about AU$511m worth of shares (which is 22% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

So What Does This Data Suggest About Technology One Insiders?

An insider hasn’t bought Technology One stock in the last three months, but there was some selling. And our longer term analysis of insider transactions didn’t bring confidence, either. On the plus side, Technology One makes money, and is growing profits. It is good to see high insider ownership, but the insider selling leaves us cautious.
