Is Nufarm Limited's (ASX:NUF) Shareholder Ownership Skewed Towards Insiders?

A look at the shareholders of Nufarm Limited (ASX:NUF) can tell us which group is most powerful. Generally speaking, as a company grows, institutions will increase their ownership. Conversely, insiders often decrease their ownership over time. I quite like to see at least a little bit of insider ownership. As Charlie Munger said 'Show me the incentive and I will show you the outcome.

Nufarm isn't enormous, but it's not particularly small either. It has a market capitalization of AU$1.8b, which means it would generally expect to see some institutions on the share registry. Nufarm already has institutions on the share registry. Indeed, they own a respectable stake in the company. This suggests some credibility amongst professional investors. But we can't rely on that fact alone since institutions make bad investments sometimes, just like everyone does. If multiple institutions change their view on a stock at the same time, you could see the share price drop fast. It's therefore worth looking at Nufarm's earnings history below. Of course, the future is what really matters.

Since institutional investors own more than half the issued stock, the board will likely have to pay attention to their preferences. Nufarm is not owned by hedge funds. The company's largest shareholder is Sumitomo Chemical Company, Limited, with ownership of 16%. Meanwhile, the second and third largest shareholders, hold 9.5% and 8.0%, of the shares outstanding, respectively.

We also observed that the top 6 shareholders account for more than half of the share register, with a few smaller shareholders to balance the interests of the larger ones to a certain extent.

Insider Ownership Of Nufarm

The definition of an insider can differ slightly between different countries, but members of the board of directors always count. The company management answer to the board and the latter should represent the interests of shareholders. Notably, sometimes top-level managers are on the board themselves.

Most consider insider ownership a positive because it can indicate the board is well aligned with other shareholders. However, on some occasions too much power is concentrated within this group.
