How Much Are Tech Data Corporation (NASDAQ:TECD) Insiders Taking Off The Table?

We often see insiders buying up shares in companies that perform well over the long term. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So shareholders might well want to know whether insiders have been buying or selling shares in Tech Data Corporation (NASDAQ:TECD).

What Is Insider Selling?

Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock in the company. However, rules govern insider transactions, and certain disclosures are required.

We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But it is perfectly logical to keep tabs on what insiders are doing. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

Tech Data Insider Transactions Over The Last Year

The Executive Chairman of the Board, Robert Dutkowsky, made the biggest insider sale in the last 12 months. That single transaction was for US$2.5m worth of shares at a price of US$108 each. So what is clear is that an insider saw fit to sell at around the current price of US$90.34. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive).

Over the last year, we note insiders sold 98656 shares worth US$10m. Tech Data insiders didn't buy any shares over the last year. Insiders at Tech Data Have Sold Stock Recently

The last three months saw significant insider selling at Tech Data. Specifically, insiders ditched US$820k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Insider Ownership of Tech Data

Many investors like to check how much of a company is owned by insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Tech Data insiders own about US$33m worth of shares. That equates to 1.0% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

So What Do The Tech Data Insider Transactions Indicate?

Insiders haven't bought Tech Data stock in the last three months, but there was some selling. And even if we look to the last year, we didn't see any purchases. On the plus side, Tech Data makes money, and is growing profits. While insiders do own shares, they don't own a heap, and they have been selling. So we'd only buy after careful consideration.
